These Terms of Use govern your access to and use of New Orchards, including our website, tools, templates, downloads, and related services. By using New Orchards, you agree to these Terms.
If you do not agree, please do not use the site.
Who We Are
New Orchards is owned and operated by General Blue Corporation ("General Blue," "we," "us," or "our").
Using New Orchards
You may use New Orchards for lawful personal or internal business purposes. You agree not to misuse the site, interfere with its operation, attempt unauthorized access, or use the site in a way that could harm users, services, or systems.
You are responsible for your own internet connection, device security, software updates, and backup practices.
Accounts and Communications
Most areas of New Orchards can be used without an account. If you provide contact information, you agree that it is accurate and that we may use it to respond to your requests or provide service-related communications.
If you subscribe to optional updates, you may unsubscribe at any time.
Templates, Downloads, and Local Data Responsibility
New Orchards provides downloadable materials such as templates and files, including but not limited to PDF, spreadsheet, and document formats.
When you download and save files to your own device, storage account, or network:
- the files are under your control,
- you are responsible for the data you enter, store, share, or delete,
- you are responsible for securing your device, accounts, and backups,
- you are responsible for access controls and permissions on your systems.
We do not control your local device, operating system, storage configuration, or third-party software used to open or edit downloaded files. To the extent permitted by law, we are not responsible for data loss, exposure, corruption, ransomware, unauthorized access, or other incidents affecting files after they are downloaded to your environment.
If you later upload content back to New Orchards through a site feature, that uploaded content is governed by our Privacy Statement and these Terms.
Intellectual Property and License
New Orchards and its content, including text, design elements, branding, software, and original templates, are protected by applicable intellectual property laws.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to download and use available templates and materials for lawful personal or internal business use.
You may not:
- claim our content as your own,
- remove attribution or legal notices where required,
- resell, sublicense, or redistribute our content as a standalone product,
- use our branding, logos, or marks without permission,
- scrape, copy, or reproduce substantial portions of the site in violation of law.
User Content and Submissions
If you send us feedback, suggestions, or other submissions, you represent that you have the right to share that content. You also grant us a non-exclusive, worldwide, royalty-free license to use that content for operating, improving, and supporting New Orchards.
Do not submit content that is unlawful, infringing, malicious, or violates another person's rights.
Third-Party Services and Links
New Orchards may include links to third-party websites, tools, or services. We do not control third-party services and are not responsible for their content, availability, security, or practices.
Your use of third-party services is governed by their own terms and policies.
Service Availability and Changes
We may update, change, suspend, or discontinue any part of New Orchards at any time, including tools, features, downloads, or content.
We aim for reliable service, but availability is not guaranteed. Temporary downtime, maintenance windows, and unexpected interruptions can occur.
Disclaimers
New Orchards and all content, tools, and downloads are provided on an "as is" and "as available" basis to the fullest extent permitted by law.
We do not guarantee that the site will always be uninterrupted, error-free, secure, or suitable for your particular use case. You are responsible for evaluating whether any template, file, or tool meets your needs.
Content on New Orchards is provided for general informational purposes and is not legal, financial, tax, medical, or other professional advice.
Limitation of Liability
To the fullest extent permitted by law, General Blue and its affiliates, officers, employees, and service providers are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities arising out of or related to your use of New Orchards.
To the fullest extent permitted by law, our total liability for claims relating to New Orchards will not exceed: (a) for paid services, the amount you paid us for the specific service in the 12 months before the claim; and (b) for free services, USD $10.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
Indemnification
You agree to defend, indemnify, and hold harmless General Blue and its affiliates, officers, employees, and service providers from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to your misuse of New Orchards, your violation of these Terms, or your violation of applicable law or third-party rights.
Termination
We may suspend or terminate access to New Orchards, in whole or in part, if we reasonably believe these Terms have been violated, if required by law, or if needed to protect users, systems, or rights.
Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, and governing terms.
Binding Arbitration and Class Action Waiver (U.S.)
If you live in (or, if a business, your principal place of business is in) the United States, this section applies to disputes between you and General Blue, except where prohibited by law.
Before starting arbitration, you and we agree to try to resolve disputes informally for at least 60 days after written notice describing the issue and requested resolution.
If a dispute is not resolved informally, you and we agree that the dispute will be resolved through binding individual arbitration and not by a lawsuit in court, except that either party may bring an eligible individual claim in small claims court.
To the fullest extent permitted by law, you and we each waive any right to bring or participate in a class action, class arbitration, representative action, or private attorney general action.
The arbitrator may award only individual relief and may not consolidate claims or award relief for non-parties, except to the extent required by law.
If any part of this section is found unenforceable for a particular claim or remedy, that claim or remedy will proceed in court, and the remaining parts of this section will continue to apply to the fullest extent permitted by law.
Governing Law and Disputes
These Terms are governed by applicable law, without regard to conflict-of-law principles, except where local consumer laws require otherwise.
Any dispute relating to New Orchards that is not subject to arbitration under these Terms will be resolved in the appropriate courts of competent jurisdiction, unless applicable law requires a different forum.
Changes to These Terms
We may revise these Terms from time to time. Updated Terms become effective when posted, unless otherwise required by law.
By continuing to use New Orchards after updated Terms are posted, you agree to the revised Terms.
